The dispute and the court’s decision

XX and OÜ Rosehill sought invalidation or a declaration of voidness of the meeting decisions of KÜ Kangelaste 3, now Narva linn, Kangelaste prospekt 3 korteriühistu, of 11 November 2009. They challenged the initiative group’s authority, notice, voting totals, board elections and charges for non-residential premises. Following termination of some other claimants’ claims and separation of distinct disputes, this case retained XX’s and the company’s claims specifically concerning the 2009 meeting. The county court held that members could organise the meeting themselves after unsuccessful approaches to the board. Referral to an audit committee whose mandate had expired was unnecessary. On the evidence as a whole, the claimants were considered aware of the meeting in sufficient time. Elections of individuals were governed by the special candidate-voting rule rather than automatic application of the articles’ general voting threshold. A provision on communicating the board’s own decisions was not treated as the rule for inviting members to a general meeting. The court also considered confirmation of the decisions at a 2010 meeting and found no grounds to grant the voidness claim. Allocation of common expenses by area was treated as consistent with the law and articles; this judgment did not award an individual debt. Both claims were dismissed on 20 June 2013. Despite the claimants’ defeat, each side retained its own costs in view of the parties’ conduct, including inconsistent arguments by the association. Confirmed subsequent development: on 18 June 2014 the circuit court dismissed XX’s appeal and the association’s cross-appeal. The outcome and operative part remained, some reasons were revised and each side bore its own costs in both instances. OÜ Rosehill did not appeal. Voidness of separate 2011 meeting decisions did not automatically overturn the confirming 2010 decisions. Entry into force and actual enforcement have not been separately reverified.

Outcome of this decision
