Deleted KÜ Puškini 2, 2A, 4: refusal to admit an unclear liquidation application was upheld

Editorial summary

The application concerned a deleted association’s transaction and additional liquidation. Refusal was upheld because the claim remained unclear and a fee paid in another case did not cover this application.

The dispute and the court’s decision

An application made in the name of deleted KÜ Puškini 2, 2A, 4 against KÜ Narva Sõbralik sought a declaration that a transaction was void, additional liquidation and restoration of a former liquidator’s powers. These are separate legal entities with different registration codes, not alternative names for one association. The county court required a clear claim and grounds, details of undistributed property, a claim value and payment of the filing fee. It found the defects uncorrected: neither a proper claim nor an appropriate additional-liquidation application had been filed. On 28 February 2012 it refused admission, returned the documents and left costs with the applicant. The appeal disputed the requirements concerning form and claim value and relied on an earlier fee payment and circumstances of the other association’s separation. The circuit court upheld the refusal. The earlier fee related to a different case, and a clear claim had still not been provided after an opportunity to correct the defects. The alleged infringement could not be established from the stated facts. The validity of the transaction, entitlement to property and appointment of a liquidator were not decided on their merits.

Outcome of this decision

The county court order of 28 February 2012 remained unchanged and the appeal against it was dismissed. The application was not admitted, the documents were returned and county court costs remained with the applicant. The transaction, property and liquidator’s powers were not determined on their merits.
